I.    EMPLOYER'S NAME (COMPANY) AND ADDRESS

II.    GENERAL PROVISIONS
1.    By submitting their quotation, each Contractor fully and unconditionally accepts the contract execution terms and conditions stated in this Request for Quotation (henceforth the "RfQ") and all of the annexes integral to the RfQ.
2.    All matters not regulated herein shall be governed by the Polish Civil Code.
3.    This tender has also been published on the EU Official Journal website.


III.    CONTRACT AWARD MODE
1.    These contract awarding proceedings are carried out as a two-phase request for quotation with respect for the principle of competition and in relation to the performance of the project titled "Development of innovative technology demonstrators of the new-generation diagnostic analysers with dedicated reagent lines" under the Operational Programme Smart Growth, Sub-Measure 1.1.2, R&D related to the creation of a pilot/demonstration installation.
The subject of the project is to complete the development of innovative technology demonstrators of a new-generation family of complementary haematology and clinical chemistry diagnostic analysers, HERMES and BlueBox, respectively, with their dedicated reagent lines.
2.    The second phase of the proceedings, if the Employer decides to carry it out, will be price negotiations with 3 Contractors who will have submitted the most advantageous quotations, or, if up to three Contractors submit their quotations only, the negotiations will be held with all of them.
3.    The proceedings this RfQ concerns have the following reference:
DEMONSTRATOR.1.1.2_1. The quoting Contractors shall call this reference in all communications for the Employer.
4.    The proceedings will be carried out in Polish or English.
5.    All representations, notices and other documentation made under the proceedings and the contract agreement will be in Polish or English.

IV.    THE OBJECT OF ORDR
1.    The object of the order contract is:

A detailed documentation describing the specific modules is available at the Employer's headquarters and will be disclosed to the bidders who have signed a specific non-disclosure declaration.
2.    The Employer will accept partial quotations.

V.    CONTRACT PERFORMANCE DEADLINE
1.    The Employer requires to have the entire awarded contract performed and delivered by 30/06/2017.
2.    The Employer requires delivery of the contractually ordered parts from 7ºº to 15ºº on business days, from Monday to Friday inclusive.

VI.    CONDITIONS FOR PARTICIPATION IN THE PROCEEDINGS AND EVALUATION OF COMPLIANCE
Contractors who fulfil all of the following conditions may apply for awarding of the contract:
a)    The Contractor has their headquarters within the Republic of Poland or another European Union country.
b)    The Contractor has the technical capacity and potential to deliver parts for the equipment specified above.
c)    The Contractor operates an in-house R&D department with a qualified staff of 5 people minimum which job is related with development and production components and whole medical devices.
The aforementioned conditions for participation in the proceedings will be verified on the basis of:
Item 3 a) Contractor's Declaration (Annex no. 3)
Item 3 b) Letters of reference, which shall prove that within the last three years before the quotation submission deadline (or within the entire time of Contractor's business, if less than three years), the Contractor has designed and launched the production of at least two devices based on precision mechanical engineering, optics and electronics (with design and programming of microcontroller systems)
Item 3 c) Contractor's Declaration (Annex no. 3)
1.    Evaluation of fulfilment of the conditions required of Contractors shall be conducted according to the fulfils – does not fulfil formula, based on documents submitted by the Contractor according to the Employer's requirements specified in item 3.
2.    Submission of documents that do not demonstrate fulfilment of the conditions for participation in the proceedings or a lack of the documents referred to in item 3 shall result in disqualification from the proceedings.
3.    Contractors with personal or capital ties to the Employer shall be disqualified from the contract awarding proceedings. Personal or capital ties are understood as mutual relations between a beneficiary or persons authorised to make commitments in the beneficiary's name or persons performing activities related to the preparation and conduct of the contractor selection procedure in the name of the beneficiary and the contractor, particularly relations involving:
a) participation in the company as a partner of a civil law partnership or general partnership,
b) ownership of at least 10% shares or stock,
c) performance of the function of member of the supervisory or managing body, authorised agent, attorney,
d) remaining in a matrimonial relationship, in a relationship of consanguinity or affinity in a straight line, affinity of the second degree or affinity of the second degree on a side line, or in a relationship of adoption, care or guardianship.
The Contractor is obligated to attach a declaration of the absence of the aforementioned ties to the quotation according to the form found in Annex no. 2 to this request for quotation.

VII.    EXCHANGE OF COMMUNICATION, REPRESENTATIONS OR DOCUMENTS BETWEEN THE EMPLOYER AND CONTRACTORS. EMPLOYER'S AUTHORIZED CONTACTS
1.    These proceedings will be carried out in Polish or English.
2.    All representations, requests, notices and information shall be served in writing, by electronic transmission at karolina.koziol@cormay.pl, or by fax (fax no. +48 81 749-44-34), where Section 5 shall apply.
3.    Each communication by fax requires each party of these proceedings to immediately confirm reception of the communication on request of the other party.
4.    Each document rendered by electronic transmission shall be a scan of the original copy, signed by a duly authorised person.
5.    The written form shall be the only form of submitted quotations (and their appendices, if any), the representations and documents which prove compliance with the conditions of participation in these proceedings, all documents served to prove qualification for the proceedings, and all powers of attorney.
6.    Every submission of the documents contemplated herein in any form other than required by the Employer shall be ineffective.
7.    It is implicit that every letter transmitted by the Employer to the fax number specified by the Contractor is served sufficiently for the latter to read.
8.    All communications related to these proceedings shall be sent to this address:

9.    The Employer has the right to reasonably amend or modify the contents of this RfQ any time before the quotation submission deadline. The amendments and/or modifications hereof may be reasonably required by inquiries from the Contractors and/or due to the sole discretion of the Employer.
10.    Each amendment/modification of the RfQ contents contemplated in Section 9 will be immediately communicated to all Contractors who have received the RfQ. If any amendment/modification of the RfQ will require more time to adjust the submitted quotations, the Employer may extend the quotation submission deadline accordingly.
11.    The Employer may, if required, hold meetings with all Contractors to clarify inquiries (if any) arising and concerning the RfQ during the proceedings. The meetings will be held in Polish or English.

IX.    METHOD OF PREPARING QUOTATION
1.    Each quotation shall be placed on the Quotation Form, Annex no. 1 hereto, in Polish or English, in writing and legible with indelible ink, ballpoint pen, or with machine or computer generated text. The quotation is to be signed by the Contractor or person authorised to represent the Contract (also concerns quotations sent via e-mail).
2.    The following is to be appended to the Quotation Form, Annex no. 1:
a.    Declaration of absence of personal or capital ties between the Contractor and Employer, constituting Annex no. 2 to the request for quotation.
b.    Declaration confirming fulfilment of the conditions for participation in the proceedings, constituting Annex no. 3.
c.    Copies of the letters of reference which shall prove that within the last three years before the quotation submission deadline (or within the entire time of Contractor's business, if less than three years), the Contractor has designed and launched the production of at least devices based on precision mechanical engineering, optics and electronics (with design and programming of microcontroller systems).
3.    The Contractor remains bound by the quotation they have submitted for a period of 60 days, counting from the expiration of the quotation submission deadline.
4.    The quotation is to be submitted in person or via post at the branch office of PZ CORMAY Spółka Akcyjna ul. Rapackiego 19A 20-150 Lublin, or by e-mail at: karolina.koziol@cormay.pl.

X.    TIME AND PLACE OF QUOTATION SUBMISSION AND OPENING

1.    A quotation compliant with the appended form and with this request for quotation is to be submitted by 11 November 2016, 23:59 (11:59 P.M.).
2.    The quotation will be unsealed and opened on 14/11/2016 at 1130 at PZ Cormay Spółka Akcyjna ul. Rapackiego 19A 20-150 Lublin.
3.    Every quotation submitted after the quotation submission deadline will be returned unsealed by the Employer to the bidding Contractor after the period of appeal and with prior notice of untimely submission.
4.    During the quotation opening session, the Employer will read the name and registered office address of the Contractor as placed on the envelope being unsealed, the quoted price, and the acceptance of the contract performance time and terms of payment stated in the quotation.
5.    The Employer will immediately serve the information contemplated in Section 5 to all Contractors absent during the quotation opening and requesting this information.
6.    Declarations, applications, notices and information are exchanged between the Employer and Contractors in writing. The Employer permits exchanging documents and information in electronic form, to the address: karolina.koziol@cormay.pl.

XI.    DESCRIPTION OF METHOD FOR CALCULATING QUOTED PRICE
1.    The Contractor is obligated to specify the price for performance of the object of the order according to the quotation form.
2.    The price given in the quotation is to be expressed in PLN or in EURO. The price must account for all requirements of this request for quotation and include all costs related to the timely and proper performance of the object of the order as well as to fulfilment of the conditions and guidelines specified by the Employer relating to the object of the order.
3.    In the case where the price is given in EURO, it shall be converted to PLN according to the average NBP exchange rate in force on the day on which the request for quotation was published in the EU Official Journal.
4.    There can only be a single price for the object of the order, no price variants are permitted. Any discounts should be accounted for when calculating the price, so that the price for performance of the object of the order is the final price, without the need for the Employer to perform conversions and other operations to determine the price.
5.    The Employer permits submission of partial quotations or partial selection.
6.    The quoted price is the net price for performance of the object of the order.


XII.    DESCRIPTION OF THE CRITERIA THAT THE EMPLOYER WILL USE TO SELECT THE QUOTATION, WITH DEFINITION OF THESE CRITERIA AND THE METHOD OF QUOTATION EVALUATION
1.    The quotation evaluation criteria for each task include: Price, weighed at 70% and Performance Time, weighed at 30%.
2.    The Price criterion evaluation score will be awarded (down to two decimal places) according to the formula:

The Performance Time criterion evaluation score will be awarded (down to two decimal places) according to the formula:

3.    The quotation with the highest score in points will be deemed the most advantageous with respect to every task.
4.    During the examination and evaluation of the quotation, the Employer may request the Contractor to clarify their quotation.
5.    If the Contractor whose quotation is selected evades conclusion of the contract agreement or fails to provide a performance bond, the Employer will have the right to select the second most advantageous quotation without repeating the examination and evaluation.
6.    The Employer will not select the most advantageous quotation by electronic bidding, and the Employer may optionally conduct the second phase of the proceedings according to Article III, Contract Award Mode.


XIII.    SECOND PHASE OF THE PROCEEDINGS
1.    The selected bidding Contractors will receive electronically transmitted invitations to the second phase of the proceedings complete with the relevant information about the second phase.
2.    The final result of the price negotiations during the second phase will be open to all bidding Contractors.
